Partner Program – Terms and Conditions

1.1 Official Partner Platform
These Terms and Conditions (hereinafter “Partner Terms”) govern participation in the official FlixSell Partner Program (hereinafter “Partner Program”). The Partner Program is operated exclusively via the domain partners.flixsell.com and is an official offering of Flixsell LLC.

1.2 Provider
The provider of the Partner Program is Flixsell LLC (FLIXSELL LIMITED LIABILITY COMPANY), a limited liability company organized under the laws of the State of Wyoming, USA, business address: 30 N Gould St Ste N, Sheridan, Wyoming 82801, USA, registered with the Secretary of State of the State of Wyoming, represented by Justin Leon Schwan, Managing Member (hereinafter “FlixSell,” “we,” or “us”).

1.3 Subject Matter
The subject matter is the referral of new Creators (Uploaders/Sellers) to the FlixSell platform (flixsell.com and related applications) by registered Partners in return for a performance-based commission. By registering for and using the Partner Program, the Partner accepts these Partner Terms.

1.4 Relationship to Other Terms
To the extent Creators or Users use the main platform, the general Terms of Service, Privacy Policy, and other FlixSell policies also apply. In the event of conflict between these Partner Terms and the general Terms of Service, these Partner Terms prevail for the Partner Program.

2.1 Partner
Any natural or legal person who registers a Partner Account on partners.flixsell.com and participates in the Partner Program.

2.2 Referred Creator
A Creator (Uploader) who registers with FlixSell via the Partner’s tracking link or tracking code and is attributed to the Partner under the tracking rules.

2.3 Gross Revenue
The revenue generated by the referred Creator through FlixSell before deduction of the FlixSell service fee, excluding refunds, chargebacks, and other deductions, unless otherwise stated.

2.4 Commission
The performance-based remuneration credited to the Partner, currently 7.5% of the Gross Revenue of each referred Creator.

2.5 Tracking Cookie
The technical means used to attribute registrations and revenue to the Partner; duration 30 days.

2.6 Partner Account
The Partner’s individual account on partners.flixsell.com.

3.1 Requirements
Eligible are natural persons of legal age and duly existing legal entities. The Partner represents that all information provided is accurate and will supply the data required for payouts and tax purposes.

3.2 Identity Verification (KYC)
FlixSell may require identity and/or company verification before the first payout and at any time during participation. FlixSell is entitled to request renewed identity verification at any time. Without successful verification, payouts may be withheld or the Partner Account restricted.

3.3 No Right to Participate
FlixSell may refuse registration or suspend a Partner Account at its discretion if there is a fraud, sanctions, money-laundering, or reputation risk, or if these Partner Terms are breached.

3.4 Geographic Restrictions
For legal, regulatory, and compliance reasons (including sanctions, export control, and anti-money laundering rules, as well as requirements of our payment service providers), Partners with residence, seat, or habitual residence in the following countries are currently not admitted to the Partner Program:

• Belarus
• China (Mainland)
• Cuba
• India
• Iran
• Iraq
• Israel
• Myanmar
• Nepal
• Nicaragua
• North Korea
• Russia
• Syria
• Turkey
• Venezuela
• Vietnam
• United States of America (USA)

FlixSell may update this list at any time to reflect regulatory developments or changed requirements of payment service providers. If a registration from one of the listed countries is identified, FlixSell may refuse the registration or suspend the relevant Partner Account.

4.1 Cookie Duration
The cookie tracking duration is 30 days. If a Creator registers within that period after clicking the Partner link and is attributed to the Partner, they are treated as a referred Creator of that Partner, unless another attribution (e.g. a later valid Partner link) takes priority.

4.2 Attribution
The attribution recorded technically by FlixSell is decisive. The Partner has no claim to commission for Creators not demonstrably captured via their tracking link or tracking code. Self-referral, sham registrations, and artificial revenue are prohibited and result in loss of commission and, where applicable, suspension.

5.1 Amount and Base
The Partner receives a lifetime commission of 7.5% (seven point five percent) of the Gross Revenue of each referred Creator for as long as the Partner Account is registered and active and the referred Creator generates revenue on the FlixSell platform. Commission is credited to the Partner for as long as their Partner Account exists.

5.2 Deductions and Cancellations
Refunds, cancellations, chargebacks, fraud cases, and other deductions from the referred Creator’s revenue reduce the commission base accordingly. Commissions already credited or paid out are deducted again in such cases and set off against the Partner balance.

5.3 Negative Balance and Obligation to Settle
If a cancellation, refund, chargeback, or other deduction causes the Partner balance to go negative, the Partner must pay FlixSell to bring the balance to zero. FlixSell may demand the amount due and, in case of non-payment, take further measures (including account suspension and legal action).

5.4 Change of Commission Rate
FlixSell may change the commission rate. In the event of a change, FlixSell will notify the Partner by email to the address on the Partner Account at least 30 days in advance. The changed rate applies to revenue from the effective date; commissions already earned and credited remain unaffected unless otherwise specified.

5.5 No Revenue Guarantee
FlixSell does not owe any particular number of referred Creators or any particular commission amount. Participation in the Partner Program does not create a right to success.

6.1 Calculation and Payout Dates
Payouts are calculated and triggered automatically on the 1st and the 15th of each month:

• Commissions for the period from the 1st through the 15th of a month are paid out on the 1st of the following month.
• Commissions for the period from the 16th through the end of the month are paid out on the 15th of the following month.

6.2 Delays
In individual cases (e.g. additional reviews, bank holidays, technical disruptions, KYC follow-ups, or suspected breaches), payout may take longer. There is no entitlement to payout on a fixed calendar day unless required by law.

6.3 Payout Method and Minimum
Payout is generally by bank transfer unless the Partner chooses another method offered by FlixSell. There is no minimum amount for a transfer; smaller balances may also be paid out.

6.4 Currency and Conversion
Payout is made in the currency of the available balance. Any conversion fees (e.g. by banks or payment providers) are borne by the Partner and may be deducted from the payout amount.

6.5 Paying Entity and Self-Billing
Payout is made by Flixsell LLC. Where applicable, settlement is effected by self-billing. By registering, the Partner accepts that FlixSell issues billing documents on the Partner’s behalf. Payout or billing documents may bear the following statement:

“SELF-BILLING – This document has been issued by the Platform on behalf of the Creator pursuant to the applicable agreement between the parties.”

By registering, the Partner accepts these Partner Terms and the self-billing arrangement above.

6.6 Withholding of Commissions
In case of (suspected) breach of these Partner Terms, fraud, ongoing identity verification, or disputes, FlixSell may withhold commissions until the matter is resolved.

7.1 Permitted Use
The Partner may use promotional materials provided or approved by FlixSell on their websites, social media profiles, and other lawful platforms, provided the platform and the advertising activity are lawful and these Partner Terms are observed.

7.2 Prohibited Advertising
The following is prohibited in particular:

• illegal advertising or advertising conducted in an illegal manner (including spam, misleading statements, infringement of third-party rights, violation of platform rules or applicable law);
• paid Google Ads advertising (or comparable paid search advertising) in the name of FlixSell, FlixSell Partners, FlixSell Affiliate, or using the word “FlixSell” or “Flixsell,” except promotional materials expressly approved by FlixSell for Partners;
• trademark infringement, domain squatting using FlixSell names, and impersonating an official FlixSell entity;
• advertising on pages or in contexts with unlawful, discriminatory, or harmful-to-minors content that is incompatible with FlixSell rules.

7.3 Intellectual Property
All trademarks, logos, and promotional materials of FlixSell remain the property of FlixSell. The Partner receives only a revocable, non-exclusive license to use them within the Partner Program.

8.1 Lawful Conduct
The Partner acts lawfully, makes no misleading promises about FlixSell or earnings, and complies with all applicable advertising, privacy, and consumer protection rules.

8.2 Taxes
The Partner alone is responsible for the tax treatment of their commissions (income tax, VAT, etc.) and will provide FlixSell on request with the required information and forms (e.g. W-9, W-8BEN, or equivalent).

8.3 Account Data
The Partner keeps contact details, bank details, and tax information up to date. Misdirected payouts due to incorrect information are at the Partner’s risk.

9.1 Measures
In case of breach of these Partner Terms, FlixSell may in particular:

• impose an advertising ban (prohibition of certain or all advertising activities);
• freeze commissions (freeze or non-payment of open and future commissions);
• suspend the Account or permanently terminate participation;
• recover commissions already paid or credited in cases of fraud or serious breaches.

9.2 Immediate Measures
In cases of fraud, illegal advertising, trademark abuse, or risk to FlixSell or third parties, FlixSell may take measures without prior warning.

10.1 Term
Participation begins upon successful registration and continues for an indefinite period for as long as the Partner Account exists.

10.2 Self-Deletion by the Partner
Ordinary termination by the Partner is not provided for. The Partner may delete their Partner Account at any time in the account settings on partners.flixsell.com. Deletion must be confirmed by a confirmation email to the address on file. After successful confirmation, the Partner Account is irreversibly deleted.

10.3 Consequences of Self-Deletion
Upon irreversible deletion of the Partner Account, the right to future commission credits ceases. Any positive balance expires and is not paid out. The lifetime commission entitlement ends upon deletion of the Partner Account.

10.4 Negative Balance on Deletion
If a negative balance exists at the time of deletion or thereafter (e.g. due to subsequent cancellations or chargebacks), the Partner remains obliged to pay FlixSell to bring the balance to zero. Deletion does not release the Partner from this obligation.

10.5 Termination by FlixSell
FlixSell may suspend the Partner Account or end participation for breach of these Partner Terms, fraud, legal or payment-partner necessity, or for cause. In such cases, the sanctions under Section 9 apply; a positive balance may be withheld or set off against claims. A negative balance must be settled by the Partner.

11.1 Limitation
To the extent permitted by law, FlixSell is not liable for indirect damages, lost profits, or data loss. Liability for intent and gross negligence and for injury to life, body, or health remains unaffected where mandatory.

11.2 Technical Availability
FlixSell aims for high availability of partners.flixsell.com but does not warrant uninterrupted availability. Maintenance and force majeure are excluded.

12.1 Processing
The Partner’s personal data are processed in accordance with FlixSell’s Privacy Policy and applicable law. By participating, the Partner consents to the processing necessary to operate the Partner Program where consent is required.

13.1 Amendments
FlixSell may amend these Partner Terms for legal, technical, or business reasons. Material changes will be notified to the Partner by email at least 15 days before they take effect (30 days for commission changes). If the Partner does not object and continues to use the Partner Program, the amended terms are deemed accepted. The Partner has an extraordinary right to terminate.

14.1 Wyoming Law
These Partner Terms are governed by the laws of the State of Wyoming and the federal law of the United States of America, excluding conflict-of-laws rules. To the extent permitted by law, the courts in Sheridan County, Wyoming, USA, have jurisdiction over disputes. Mandatory consumer protection rules at the Partner’s place of residence remain unaffected.

15.1 Severability
If any provision is invalid, the remaining provisions remain in effect. The invalid provision shall be replaced by a valid provision that most closely reflects the economic purpose.

15.2 Entire Agreement
These Partner Terms together with any written supplemental agreements constitute the entire agreement regarding the Partner Program.
